1. Scope & Eligibility
All transactions, account relationships, and website usage with Rana Republic Co. (“Company”) are governed by these Terms & Conditions. We operate strictly as a business-to-business (B2B) wholesale distributor. We do not sell directly to individual retail consumers for household use.
To purchase products, buyers must have an approved commercial wholesale account, provide a valid Canadian Business Number (or recognized foreign business registration), and demonstrate legitimate commercial retail, resale, or institutional operations.
2. Pricing, Quotations & Catalogues
Wholesale price sheets, promotional schedules, and product catalogues issued by the Company are confidential commercial documents and remain the property of Rana Republic Co. Pricing is quoted in Canadian Dollars (CAD) unless explicitly designated otherwise in formal written quotations.
All quotations are subject to stock availability and may be revised due to manufacturer price changes, currency fluctuations, or carrier tariff adjustments prior to final purchase order acceptance.
3. Commercial Order Fulfillment & Packaging
Wholesale purchasing options and order parameters are established upon commercial account approval. Merchandise is packaged, handled, and fulfilled in commercial case and pallet configurations tailored for B2B receiving and Canadian freight efficiency. The Company operates strictly on a business-to-business basis and does not sell to individual retail consumers or fulfill single consumer units.
4. Shipping, Freight & Risk of Loss
Unless formally agreed otherwise in a signed commercial contract, all wholesale orders are shipped FOB Origin (Ontario, Canada). Title to goods and risk of loss pass to the buyer upon tender of merchandise to the commercial carrier or freight forwarder.
The buyer is responsible for standard receiving preparations, including loading dock access, liftgate requirements, and pallet receiving capabilities at the designated delivery address.
5. Inspection & Shortage Claims
The buyer must inspect all shipments immediately upon receipt. Any external carton damage, concealed damage, or carton count discrepancies must be clearly noted on the carrier's Bill of Lading (BOL) and reported in writing to Rana Republic Co. at sales@ranarepublicco.com within five (5) business days of physical delivery.
6. Limitation of Liability & Governing Law
To the maximum extent permitted by applicable Canadian law, Rana Republic Co. shall not be liable for any indirect, incidental, consequential, or punitive damages arising from supply chain delays, carrier disruptions, or lost retail profits.
These Terms and all commercial transactions shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
